Terms & Conditions that apply to all TM Forum

Education and Coaching Contracts

  1. ENTIRE AGREEMENT. These terms and conditions (the “Terms and Conditions”) are incorporated into and form an integral part of the agreement to which they apply (the “Contract”), and together constitute the entire agreement between you and TM Forum, a New Jersey Non Profit Corporation (“TM Forum,” “we,” “our,” or “us”) (each a “Party” and together the “Parties”).
  2. FEES AND PAYMENT.
    1. Upon receipt of this signed contract or as soon as practical afterwards, we will send you an electronic invoice for the full amount shown, with full payment due within thirty (30) days from the date the invoice is issued.
    2. We accept payment by Bank Transfer or Credit Card (Visa/MasterCard/American Express). Credit card payments incur a 3% service fee. 
    3. You must raise any disputed charges within five (5) days after receiving the invoice. TM Forum will work with you to resolve disputes, and payment will be due upon receipt of the invoice after resolution. 
    4. If payment is not received within 30 (thirty) days of the due date, TM Forum will charge interest at 1.5% per month (18% annually) or the maximum rate allowed by law, starting from the invoice date.
    5. Full payment is required prior to the commencement of services.
  3. Cancellations; Transfers/Substitutions
    1. General Cancellation Policy. All cancellations and transfer requests must be confirmed by email to  [email protected].
      1. Individual sales. If you cancel at least two (2) weeks before the start date, TM Forum will provide credit for a future training event to be used within 12 (twelve) months of the original service date.
      2. Group sales. TM Forum will allow transfers to substitute participants or other courses, subject to availability. No refunds will be provided.
      3. Any expenses already incurred by TM Forum at the time of cancellation, including but not limited to travel and lodging, shall be payable by you regardless of when the cancellation occurs.
    2. For On-Site and Virtual Training.
      1. Minimum pricing applies for up to 10 (ten) participants for on-site training and up to eight (8) participants for virtual training, regardless of the number of participants. i
      2. Cancellations less than two (2) weeks before start date or 'no shows' will not receive refunds or credits
      3. Full payment is required if fees are unpaid at time of cancellation.
    3. TM Forum Cancellation. 
      1. TM Forum reserves the right to cancel events due to insufficient registrations.
      2. If TM Forum cancels, you will receive either a 100% refund or credit for future event.
      3. TM Forum is not responsible for any non-refundable travel costs.
      4. TM Forum will notify you and participants immediately if cancellation is necessary.
  4. PROPRIETARY INFORMATION; NON-DISCLOSURE.
    1. You acknowledge and agree that all proprietary TM Forum information regarding planning and implementation of activities resulting from work under the Contract shall remain confidential unless sharing is expressly permitted in writing by TM Forum.
    2. Except as specifically authorized in writing by you, we shall not disclose or reveal to any person, corporation or other entity any of the trade secrets, proprietary or confidential information, operational processes or dealings, or any other information concerning your affairs which may become known to us during delivery of the services.
  5. INTELLECTUAL PROPERTY RIGHTS. Except as expressly provided herein, nothing contained in this Contract shall be construed as conferring by implication, estoppel, or otherwise any license or right under any patent, trade name, or copyright of either Party.
  6. COURSE CONTENT; COURSE MATERIAL OWNERSHIP. 
    1. Course contents are detailed in the TM Forum Training Course descriptions. TM Forum may modify course content at its discretion and will notify you of any changes as soon as practical.
    2. TM Forum will provide each participant with a link from which to download course materials. The materials are only for the use and reference of the individual participant.
    3. TM Forum owns all training materials provided to participants for personal use only. Recording, copying, or sharing materials in any form requires TM Forum's prior written consent. You must inform participants of the 'Course Material Ownership' requirements and ensure their compliance.
  7. PARTICIPANT PERFORMANCE  PREREQUISITES.
    1. TM Forum is not responsible for participant performance following course or coaching completion.
    2. TM Forum may remove participants who disrupt training or violate TM Forum or your policies, including any form of misconduct or abuse. No refunds will be issued for removed participants. TM Forum may deny future course access to participants with prior disruptive behavior.
    3. Certain courses may require participants to have completed prerequisite courses before enrollment. Participants are expected to have completed these prerequisite courses to ensure readiness for the current course.
  8. TERMS THAT APPLY TO ON-SITE TRAINING.
    1. On-Site Training. Training courses delivered by TM Forum on your premises or premises designated by you, and where all participants are selected by you.
    2. TM Forum Responsibilities.
      1. TM Forum will provide the training to participants selected by you at the agreed location.
      2. TM Forum will provide each participant a certificate of course attendance electronically.
      3. TM Forum will administer any appropriate certification examination(s).
      4. The TM Forum trainer will work with your staff prior to course delivery to determine your objectives and will make all reasonable efforts to ensure that these are met.
    3. Your Responsibilities.
      1. You will confirm to TM Forum the final number of participants at least 10 (ten) working days before the training delivery date.
      2. You will ensure that all course participants possess the prerequisite training, knowledge, and skills required for the course.
      3. You will ensure that participants complete TM Forum's online feedback form following the training delivery.
      4. You will promptly assist in obtaining any required immigration documents for the trainer.
      5. You will provide a classroom that accommodates the agreed number of participants and isminimally equipped and arranged as required
      6. You will inform the TM Forum trainer of all health and safety requirements, scheduled fire drills, and any other relevant information regarding the training premises.
    4. Course Times. TM Forum will publish course schedules, which you will communicate to participants. Sessions include morning and afternoon breaks and lunch.
  9. TERMS THAT APPLY TO ALL VIRTUAL TRAINING
    1. Virtual Training. Training courses delivered by a TM Forum trainer as live events via the internet.
    2.  TM Forum Responsibilities.
      1. TM Forum will provide the training to participants selected by you using a web-based delivery platform.
      2. TM Forum will ensure that the trainer conducting the class is provided with equipment and network bandwidth that meets the recommended minimum specification for the web-based delivery platform and will test the delivery system before the commencement of training.
      3. TM Forum will make all reasonable efforts to ensure that the delivery system works effectively and delivers a good quality of service to every participant. Should this not be possible, TM Forum will attempt to remedy the situation within a reasonable time but will not be liable for failure to do so. Any course fees paid for a participant that cannot complete more than half of the course due to a technical problem will be credited in full for future training. TM Forum at its sole discretion may credit partial course fees for participants that complete more than half of the course but less than the full course.
      4. TM Forum will provide each participant a certificate of course attendance electronically.
      5. TM Forum will administer any appropriate certification examination(s).
      6. The TM Forum trainer will work with your staff prior to the delivery to determine your objectives and will make all reasonable efforts to ensure that these are met.
    3. Your Responsibilities.
      1. You must confirm the number of participants to TM Forum 10 (ten) working days before the training date.
      2. You must ensure that all participants have the required prerequisite training, knowledge, and skills for the course.
      3. You must ensure that participants have access to equipment and network bandwidth meeting the minimum specifications for the web-based delivery platform. You must also participate in testing the delivery system before the training begins.
      4. Ensure that participants  provide feedback on the training to TM Forum using TM Forum’s online feedback form.
    4. Course Times. TM Forum will publish course schedules, which you will communicate to participants. Sessions include morning and afternoon breaks and lunch.
  10. TERMS THAT APPLY TO ALL OPEN ENROLLMENT (PUBLIC) TRAINING
    1. Public Training. Training courses delivered to participants from multiple organizations.
    2.  TM Forum Responsibilities.
      1. TM Forum will provide the training to participants selected by you at the published location, which may be in-person or virtual.
      2. TM Forum will provide each participant a certificate of course attendance electronically. 
      3. TM Forum will administer any appropriate certification examination(s).
    3. Your Responsibilities.
      1. You must confirm the names, job titles, and email addresses of participants 10 (ten) working days before the delivery of the training.
      2. You must ensure that all participants have the required prerequisite training, knowledge, and skills for the course.
      3. You must ensure that participants have access to equipment and network bandwidth meeting the minimum specifications for the web-based delivery platform. You must also participate in testing the delivery system before the training begins.
      4. Ensure that participants provide feedback on the training to TM Forum using TM Forum’s feedback form.
    4. Course Times. TM Forum will publish course schedules, which you will communicate to participants. Sessions include morning and afternoon breaks and lunch.
  11. TERMS THAT APPLY TO ALL ON-DEMAND TRAINING
    1. On-Demand Training. Training courses delivered as pre-recorded videos and other media delivered via the internet.
    2.  TM Forum Responsibilities.
      1. TM Forum will provide the training to participants via a secure website.
      2. TM Forum will provide each participant a certificate of course attendance electronically.
      3. TM Forum will administer any appropriate certification examination(s).
    3. Your Responsibilities.
      1. You must confirm the names, job titles, and email addresses of participants 10 (ten) working days before the delivery of the training.
      2. You must ensure that all participants have the required prerequisite training, knowledge, and skills for the course.
      3. Ensure that participants provide feedback on the training to TM Forum using TM Forum’s feedback form.
    4. Course Times. 
      1. Participants will be provided with credentials that allow access to the training website and training courses for a period of 30 (thirty) days. Upon written request and at its sole discretion, TM Forum may extend access beyond 30 (thirty) days.
      2. Participants can train at their own pace. Access is available at all times, except during scheduled maintenance periods.
  12. TERMS THAT APPLY TO ALL COACHING AND MENTORING
    1. TM Forum Responsibilities.
      1. TM Forum will designate one or more subject matter experts ("SMEs") to deliver the Coaching and Mentoring appropriate to your needs. TM Forum will communicate the agreed work schedule to the SME(s).
      2. TM Forum will provide the Coaching and Mentoring to participants selected by you at the agreed location.
      3. The TM Forum SME(s) will work with your staff prior to Coaching and Mentoring delivery to determine your objectives and will make all reasonable efforts to ensure that these are met.
    2. Your Responsibilities.
      1. You will provide office accommodation and services for the use of the SME(s) including desk space, power, and internet access together with any other facilities reasonably needed to fulfil the coaching and mentoring services.
      2. You will promptly assist in obtaining any required immigration documents for the SME(s).
      3. You will inform the SME(s) of all health and safety requirements, scheduled fire drills, and any other relevant information regarding the training premises.
    3. Work Schedule. The Parties will agree upon daily start and end times for work. When working at customer premises SME(s) will be allowed refreshment breaks during the morning and afternoon, and a break for lunch.
  13. TERMS THAT APPLY TO ALL MATURITY ASSESSMENT SERVICES
    1. TM Forum Responsibilities.
      1. TM Forum will designate one or more subject matter experts ("SMEs") to deliver the service appropriate to your needs. TM Forum will communicate the agreed work schedule to the SME(s).
      2. The SME(s) will work with your staff prior to delivering the services to determine your objectives and will make all reasonable efforts to ensure that these are met.
    2. Your Responsibilities.
      1. You will support the SME(s) by identifying the appropriate participants for meetings and workshops, and making their time available to attend as agreed.
      2. You will provide office accommodation and services for the use of the SME(s) including desk space, power, and internet access together with any other facilities reasonably needed to fulfil the services.
      3. You will promptly assist in obtaining any required immigration documents for the SME(s).
      4. You will inform the SME(s) of all health and safety requirements, scheduled fire drills, and any other relevant information regarding the training premises.
    3. Work Schedule. The Parties will agree upon daily start and end times for work. When working at customer premises SME(s) will be allowed refreshment breaks during the morning and afternoon, and a break for lunch.
  14. SERVICE PROVIDERS. TM Forum may use third-party technology service providers to provide you with services. While we exercise reasonable care in selecting our Service Providers, we are not liable for the failure of any Service Providers to provide the Services, provided that such failure is not due to our gross negligence in selecting or managing such Service Providers.
  15. FORCE MAJEURE. If delivery of the services becomes impossible due to force majeure events (including but not limited to strikes, industry disputes, acts of God, natural disasters, war, terrorism, labor strikes, or governmental actions), you shall advise TM Forum whether to postpone or cancel the training. If the training is postponed due to force majeure, you have the option to cancel your obligations under this Agreement. If you elect to cancel, TM Forum will refund 80% of the fees you paid, retaining 20% to cover administrative and support costs.
  16. LIMITATION OF LIABILITY. TM FORUM’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS OR SUITS OF ANY KIND WILL NOT EXCEED THE AMOUNT YOU PAID TO TM FORUM UNDER THIS CONTRACT. NEITHER TM FORUM NOR YOU SHALL BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. ANY LEGAL ACTION OR ARBITRATION PROCEEDING RELATED TO THIS CONTRACT MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES.
  17. MISCELLANEOUS.
    1. Assignment. You may not assign this Contract or your rights and obligations without TM Forum's prior written consent, which shall not be unreasonably withheld.
    2. Updates. TM Forum may update these terms at any time by posting them on its website. Any changes will only apply to contracts executed after the date the changes are posted on our website. For existing contracts, the terms that were in effect at the time of contract execution will continue to apply. You are responsible for retaining a copy of the terms that were in effect when you executed your contract.
    3. Severability. Should a court of competent jurisdiction declare any portion of this Contract invalid or unenforceable, the remaining portions of this Contract not invalidated shall govern and bind the parties and be construed as if the invalidated portions were not originally included in this Contract.
  18. GOVERNING LAW AND DISPUTE RESOLUTION. Disputes will be resolved through arbitration in New Jersey under American Arbitration Association rules. The agreement is governed by New Jersey laws. Equitable relief may be sought in New Jersey courts.
  19. DATA PROTECTION ADDENDUM. Provided the Parties do not have a Data Protection Addendum (“DPA”) in place, and there is a transfer of personal data under the Contract, the DPA found at [link] shall control and govern the processing of personal data under this Contract.
